Terms of Service

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User” or “you”) and Arc.AI (“Arc,” “we,” “us,” or “our”) governing your access to and use of the Arc.AI platform and related services (collectively, the “Service”). By accessing or using the Service you acknowledge that you have read, understood, and agree to be bound by these Terms.

1. Eligibility

You must be at least sixteen (16) years of age and capable of entering into a binding contract to use the Service. If you access the Service on behalf of an entity, you represent and warrant that you have authority to bind that entity to these Terms.

2. Account Registration

You agree to provide accurate and complete information when creating an account and to keep such information current. You are responsible for safeguarding your credentials and for all activities that occur under your account.

3. License

Subject to your compliance with these Terms, Arc grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for lawful purposes.

4. Acceptable Use

You shall not: (a) reverse engineer or decompile the Service; (b) use the Service to violate any law or third-party right; (c) upload viruses or malicious code; (d) interfere with or disrupt the Service or servers; or (e) exceed rate limits or otherwise abuse free-tier resources.

5. Third-Party Providers

The Service permits you to route requests to third-party model providers (e.g., OpenAI, Groq). Your use of such providers is subject to their respective terms, and Arc bears no responsibility for their services.

6. Intellectual Property

The Service, including all software, content, and branding, is owned by Arc or its licensors and is protected by intellectual-property laws. Nothing in these Terms grants you any right or license to Arc trademarks or other intellectual property except as expressly set forth herein.

7. User Content

You retain all rights in any text or data you submit to or generate through the Service (“User Content”). You grant Arc a limited license to process User Content solely for the purpose of providing and improving the Service. You represent that you have all rights necessary to submit the User Content and to grant this license.

8. Fees and Payment

The current alpha release is offered at no charge. Arc reserves the right to introduce paid plans or usage-based fees in the future, with reasonable prior notice.

9. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, or non-infringement. Arc does not warrant that the Service will be uninterrupted, secure, or error-free or that any generated output will be accurate or reliable.

10. Limitation of Liability

To the maximum extent permitted by law, Arc shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits or revenues, whether incurred directly or indirectly, or for any loss of data or goodwill. Arc’s aggregate liability arising out of or relating to the Service shall not exceed fifty U.S. dollars (USD 50) or the amount you paid Arc in the twelve (12) months preceding the event giving rise to the claim, whichever is greater.

11. Indemnification

You agree to indemnify and hold harmless Arc, its affiliates, and their respective officers, directors, and employees from any claims, damages, liabilities, and expenses arising out of or related to your use of the Service or breach of these Terms.

12. Termination

Arc may suspend or terminate your access to the Service at any time for any violation of these Terms or for business reasons. You may terminate your account at any time by following the instructions in the Service.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Israel, without regard to conflict-of-law principles. Any dispute arising under these Terms shall be resolved exclusively in the state or courts of Israel, and you consent to personal jurisdiction and venue therein.

14. Changes to the Terms

Arc may modify these Terms at any time. We will provide notice of material changes, and your continued use of the Service after such notice constitutes acceptance of the modified Terms.
